Royal Cosun, a manufacturer of food ingredients and products, and Vandemoortele, a margarine and fats manufacturer, reached agreement on 27 February 2003 on the acquisition of the bread- and pastry-ingredients part of the business of Lasem Alimentación (Spain), a company fully owned by the Vandemoortele group (Belgium).
Lasem produces margarine and bread and pastry ingredients, principally for the Spanish market. The margarine-activities of Lasem Alimentación will continue within Vandemoortele’s core-business of margarines and fats.
The pastry-ingredients part of the business will be integrated in Unifine Döhler España. Simultaneously Unifine Döhler Espana will sell the bread-ingredients part of the Lasem business to DSM Bakery Ingredients Spain. Unifine Döhler is a Cosun business group serving the European market for fine bakery specialities.
Unifine Döhler’s ambition is to be one of the top three suppliers of fine bakery ingredients in Europe and a strong number two in Spain. Spain is a strategically important market and forms a platform for further growth in southern Europe. The integration of the pastry-ingredients of Lasem Alimentación further reinforces its position in this segment on the Spanish market.
Furthermore Unifine Döhler has reached an agreement with DSM Bakery Ingredients Portugal to acquire DSM’s 50% interest in the Portuguese pastry-ingredients company Debic Gb.|
This acquisition gives Unifine Döhler also a foothold in the Portuguese market, which is in keeping with its growth strategy for southern Europe.
The three companies, Unifine Döhler, DSM Bakery Ingredients and Vandemoortele each in its core-activity of pastry-ingredients resp. bread-ingredients resp. margarines and fats, intend to work together in the Iberian market to offer a complete range of specialities and make maximum use of each other’s distribution networks.
The acquisitions will have no consequences on the number of jobs. The works councils have been asked for their advice.
