Cosun acquires three bakery ingredient companies

Unifine Döhler, a member of Royal Cosun, Breda, the Netherlands, and Döhler Eurocitrus reached agreement at the end of June 2001 on the acquisition of Döhler’s Hungarian activities. The activities focus on the East European market and comprise the aromas production site and sales office in Hungary and the sale of food ingredients in Romania and Turkey.
Cosun reached agreement with the shareholders of Fruibel (Manage, Belgium) in mid-July 2001 on Unifine Döhler’s acquisition of the company.
Acquisition talks with DSM Spain were successfully completed in the same period. Cosun will take over DSM Bakery Ingredients’ Spanish fine bakery activities and its production site in Barcelona. They will be combined with Unifine Döhler’s existing activities.

These acquisitions fit Cosun’s strategy of building up a leading position as a supplier of ingredients to the European fine bakery sector. They will increase Unifine Döhler’s annual turnover to about EUR 140 million and its workforce to about 700.

Unifine Döhler is a European specialist in the product groups flavours & compounds, fruit preparations, pastry mixes, sweet fillings and decorative products for traditional and (semi)-industrial bakers and the foodservice sector. The company is active in the European and North American markets.

The acquisition of Döhler Hungary’s food ingredients activities will strengthen the position in Central and Eastern Europe and towards the Middle East. The product range will be extended to include products for the fine bakery and confectionery sectors.

 

Fruibel specialises in the production of fruit preparations, fruit fillings and chocolate products for patisseries. The company is located in Manage (Belgium). It operates a modern production facility that comfortably satisfies all quality requirements. The company is active in 60 countries. The acquisition of Fruibel represents a significant strengthening of Unifine Döhler’s position in the European market, particularly in the fruit preparations and fruit fillings product group.
 

Through the acquisition of the fine bakery activities of DSM Bakery Ingredients Spain, Cosun has gained a substantial share of the Spanish baked goods market. The activities complement Unifine Döhler’s existing range. The new combination will serve between 20 and 25% of the Spanish market. As specialists in their own product groups, DSM and Unifine Döhler will work together to offer the fine bakery sector a complete product range via the Spanish distribution network. Bread improvers will be produced under contract for DSM Bakery Ingredients in the coming years.

 

The three acquisitions generate an aggregate turnover of EUR 45 million and employ 225 people.
Cosun’s central works council has responded positively to the growth of Unifine Döhler. The trade unions have been informed of the acquisitions. Cosun’s acquisition of the three businesses will have no consequences on employment.
